  • International Consultant for the World Bank on Review of Legal & Regulatory Review of the Financial System of Sri Lanka.
  • Advised AirPay Malaysia Sdn. Bhd. on submission of an application for approval to issue e-Wallet in Malaysia.
  • Advised Khazanah Nasional Malaysia on the existing of reinsurance/retakaful business in Malaysia and the Middle East.
  • Advised Avicennia Capital Sdn. Bhd. on getting approval from Bank Negara Malaysia to be the Financial Holding Company for the insurance business of Khazanah Nasional Malaysia, setting up the terms of reference of its Board, Board Audit, Board Risk and Board Nomination and Remuneration Committees, Management Committee, etc.
  • Advised Lazada’s captive payment platform, helloPay in obtaining an approval under the Financial Services Act 2013 for issuance of an eWallet and subsequently the purchase by Alibaba and helloPay by AliPay and the change in the shareholders of helloPay.
  • Advised Instarem Malaysia Sdn Bhd in preparing the submission and applying for a money remittance licence.
  • Advised Murphy Oil on the BNM Forex Administration Rules.
  • Advised Collectius Ltd on the BNM Forex Admininistration Rules.
  • Advised the International Islamic Liquidity Management Corporation (IILM) on the issuance of its first global sukuk.
  • Advised the Government of Malaysia on the issuance of a FRN in Zurich and several other international market loans.
  • Advised Standard Chartered Bank Singapore on its US$115.0 Million Islamic Murabahah Facility to Baitak Asian Real Estate Fund I (Labuan) Limited, Kuwait Finance House and Pacific Star Investments Singapore to fund the Kuala Lumpur Pavillion project secured against inter alia Islamic Qardhul Hasan Loans.
  • Advised Standard Bank Asia Limited on its US$100 Million Murabahah funding of the cross-border multi-jurisdictions privatisation of Courts Mammoth Malaysia, Singapore, Philippines and UK, an international home furnishing, electrical and lifestyle products chain stores.
  • Advised Lehman Brothers as refinancier on the RM240 million acquisition of non-performing loans owed by Tanco Holdings Berhad, a Malaysian public listed company and its subsidiaries from existing lenders pursuant to a scheme of arrangement.
  • Advised Deutsche Bank AG on its proposed secondary acquisition of Malaysian non-performing loans.
  • Advised a Korean real estate investment fund on the acquisition of junior Sukuk Istisna’ bonds issued by a Malaysian expressway sub-concessionaire.
  • Advised Kuwait Finance House K.S.C. on the recapitalisation of Kuwait Finance House Malaysia Berhad.
  • Advised Asian Finance Bank Berhad on its AED87.5 Million Project Financing of a Malaysian company for the Al-Tamouh waste management project in Abu Dhabi.
  • Advised Maybank Berhad on the RM175.0 Million Syndicated Term Loan and Bridging Finance to Paramount Corporation Berhad for acquisition of land and construction of Kemuning Utama new housing township.
  • Advised Kuwait Finance House on its US$100.0 Million Islamic Murabahah Facility to fund a mixed property development project in Chongqing China.
  • Advised Danaharta Managers Sdn. Bhd. a government linked debt restructuring agency on the sale of loan accounts and receivables by way of tender bid.
  • Advised TNB Engineering Corporation Sdn Bhd in its AED87 million contract financing for work done for ‘Manazel New City’ project in Abu Dhabi.
  • Advised BNP Paribas Najmah, Labuan on its Kafalah documentation for an offshore financing out of Labuan.
  • Advised Bank of Tokyo Mitsubishi UFJ on its Kafalah documentation.

DEBT CAPITAL MARKET

  • Advised Goldman Sachs International on credit default swaps and total return swaps transactions and various funding structures in relation to transactions with several Malaysian GLCs.
  • Advised Genting Berhad on its RM1.6 Billion Medium Term Note Programme by GB Services Berhad, a subsidiary of Genting Berhad.
  • Advised MMC Corporation Berhad on its RM7.9 Billion Senior Sukuk Programme comprising Islamic Commercial Papers Programme and Medium Term Notes Programme of up to RM600 Million and Islamic Medium Term Notes Programme of up to RM5.6 Billion and Junior Sukuk with an aggregate nominal value of up to RM1.7 Billion by Nucleus Avenue (M) Berhad, a special purpose company wholly owned by MMC Corporation Berhad, to fund the RM9.3 Billion acquisition of Malakoff Berhad (Asian Legal Business Award for ‘Asset & Corporate Finance Deal of the Year’).
  • Advised Westport Malaysia Sdn. Bhd. on its RM800 Million Sukuk Programme comprising Islamic Commercial Papers Programme and Medium Term Notes Programme (Malaysian Rating Corporation Berhad (MARC) ‘Best in Islamic Bond Issue Value’ Award).
  • Advised Lehman Brothers (Thailand) Limited and Lehman Brothers Japan Inc. in its securitization of non-performing corporate and residential loans in Malaysia, involving an issue of asset-backed securities in connection with the purchase of such non-performing loans by an SPV.
  • Advised OSK Trustees Berhad and bondholders in respect of claims by Malaysian International Tuna Port Sdn Bhd, a government linked company and an issuer of Islamic Bonds of RM240 million to fund the first Malaysian Tuna Port.
  • Advised OSK Trustees Berhad and bondholders on the Port Klang Free Zone dispute, and the rights and powers of OSK Trustees Bhd as the trustees of the RM480 Million, RM595 Million and RM1.455 Billion bonds issued to fund the construction of the Port Klang Free Zone.
  • Advised AmIvestment Bank Berhad on the RM100.0 Million Islamic Private Debt Securities by Mulpha International Berhad comprising up to RM75.0 million Kafalah Bank-Guaranteed Murabahah Commercial Papers and/or Medium Term Notes and up to RM25.0 million Murabahah Commercial Papers and/or Medium Term Notes to fund Leisure Farm Johor, a large scale mixed development property project.
  • Advised Maybank Investment Bank Berhad on the RM300 Million Commercial Papers/Medium Term Notes Programme comprising up to RM170 Million Bank Guaranteed Medium Term Notes Programme and up to RM180 Million of Commercial Papers Programme by Media Prima Berhad.
  • Advised YTL Power Finance (Cayman) Limited on its Reg S US$125 Million guaranteed exchangeable bonds with over-allotment options for the international offering and listing of conversion shares on the Malaysian Stock Exchange.
  • Advised Sapura Group on its RM1.32 Billion Islamic Kafalah and Project Financing of first Malaysian Government telecommunications private finance initiative funded concession and privatisation project for a nationwide government integrated radio network.
  • Advised YTL Cement Berhad on its RM490 Million issue of irredeemable convertible unsecured loan stocks.
  • Advised RCE Capital Berhad on its RM420 Million receivables-backed securitization and private debt securities issue.
  • Advised HSBC Bank Berhad on the Transmile Group Berhad Reg S US$115 Million guaranteed redeemable convertible bonds by a Labuan special purpose offshore vehicle with “green shoe” and over-allotment options for the international offering and listing of conversion shares on the Malaysian Stock Exchange and the dual listing of the convertible bonds on the Hong Kong Exchange and Labuan Financial Exchange.
  • Advised Multi-Purpose Holdings Berhad on its RM300 Million exchangeable guaranteed bonds.
  • Advised AmInvestment Bank and RHB Investment Bank on RCE Capital Berhad’s RM1.5 Billion Asset-Backed Securities Programme for securitisation of consumer loans receivables by Tresor Assets Berhad, a special purpose vehicle.
  • Advised Maybank Investment Bank on the RM800 Million Sukuk Programmes comprising an Islamic Commercial Papers Programme and Medium Term Notes Programme and a Medium Term Notes Programme by UMW Holdings Berhad.
  • Advised MIDF Investment Bank on the RM254.85 Million Issuance of Redeemable Convertible Secured Loan Stocks and Redeemable Convertible Unsecured Loan Stocks by Medi Innovation Sdn. Bhd. to fund acquisitions of the high-end exclusive chain of Sloane and Astique clinics across Malaysia, Singapore and Hong Kong.
  • Advised Malaysian Newsprint Industries Sdn. Bhd. on its RM1.3 Billion Al-Taqsit Notes issue.
  • Advised Maybank Investment Bank on the Ranhill Berhad partially underwritten RM300.0 Million Islamic Murabahah Commercial Papers/Murabahah Medium Term Notes Programme to fund a hospital construction project.
  • Advised MIDF Investment Bank on the RM100.0 million Islamic Murabahah Notes Issuance Facility by Jana Niaga Sdn. Bhd. for construction of Universiti Teknologi Selangor.
  • Advised MTD Capital Berhad on its RM315.0 Million Islamic Murabahah CP/MTN issue to fund the construction of a highway.
  • Advised BBN Development Berhad on its RM150.0 Million Islamic Murabahah Notes Issuance Facility for the development of Bandar Baru Nilai new township.
